1. Acceptance of Terms

By accessing or using the Jaydan Health Group website at jaydanhealth.com or any related platform services (collectively, the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all visitors, users, and pharmacy customers who access or use the Service. By using the Service on behalf of a pharmacy or business, you represent that you have authority to bind that entity to these Terms.

2. Description of Service

Jaydan Health Group provides a digital presence and marketing automation platform for independent pharmacies. The platform includes tools for pharmacy website creation, public patient resource libraries, appointment and event management, patient communications, marketing automation, analytics, and related features.

Scope of service: Jaydan Health is designed as a public-facing digital presence and marketing platform. It is not a clinical records system, electronic health record (EHR), or pharmacy management system (PMS). Pharmacies are responsible for ensuring that any sensitive or regulated workflows are handled through appropriate licensed and compliant services.

3. Account Registration

To access certain features, you must register for an account. You agree to provide accurate, current, and complete information and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Collect or store protected health information (PHI) through the platform without appropriate safeguards and agreements in place
  • Send unsolicited commercial messages without proper consent
  • Impersonate any person or entity or misrepresent your affiliation
  • Upload or transmit malicious code or interfere with platform operation
  • Scrape, crawl, or systematically extract data from the platform
  • Make false or misleading claims about your pharmacy or services
  • Engage in review manipulation, including selectively soliciting only positive reviews

5. Content and Intellectual Property

You retain ownership of content you upload to the platform (your pharmacy name, logo, descriptions, documents, and other materials). By uploading content, you grant Jaydan Health a limited license to display, store, and transmit that content as necessary to operate the Service.

The Jaydan Health platform, including its software, design, health content library, campaign templates, and branding, is owned by Jaydan Health Group and protected by applicable intellectual property laws. You may not copy, modify, or distribute platform materials without written permission.

6. Communications and Marketing

If you use the platform's communication features to send messages to patients or subscribers, you are responsible for complying with applicable laws including the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), and any applicable state laws. This includes obtaining proper consent before sending marketing texts, providing unsubscribe mechanisms in commercial emails, and honoring opt-out requests promptly.

7. Fees and Payment

Paid plans are billed on a monthly or annual basis as selected at signup. All fees are non-refundable except as required by law or as stated in your subscription agreement. We reserve the right to change pricing with reasonable advance notice to existing subscribers.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. JAYDAN HEALTH DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT PROVIDE LEGAL, MEDICAL, OR COMPLIANCE ADVICE. YOU ARE RESPONSIBLE FOR ENSURING YOUR USE OF THE PLATFORM COMPLIES WITH APPLICABLE LAWS AND REGULATIONS, INCLUDING HEALTHCARE REGULATIONS APPLICABLE TO YOUR PHARMACY.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JAYDAN HEALTH GROUP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES YOU PAID IN THE THREE MONTHS PRECEDING THE CLAIM.

10. Termination

Either party may terminate the service relationship at any time. You may cancel your account through the platform settings. We may suspend or terminate accounts that violate these Terms. Upon termination, your access to the platform will cease and your data will be retained for 90 days before deletion, during which time you may request an export.

11. Changes to Terms

We may update these Terms from time to time. We will notify registered users of material changes by email or through the platform with reasonable advance notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the United States and the state in which Jaydan Health Group is incorporated, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration or in the courts of that jurisdiction.
